Tennessee Conservative News [By Olivia Lupia] –

Earlier this week the board of Williamson Health, the county-owned health system, recommended the Williamson County Commission sell the hospital which has been government owned for nearly 70 years.

And while the commission has yet to take a vote, local Republicans will be keeping a close eye on the process moving forward as they continue to express concerns about how the sale proceeds will be managed and advocate for a transition that will truly benefit taxpayers.

On Monday, healthcare giant Ascension Saint Thomas brought a roughly $935 million deal to the table, and county commissioners spent the majority of their special session that evening hearing the pitch from Williamson Health board members and discussing the impacts of a sale on the current hospital system and the residents it serves.

A new state law may allow the proceeds to return to the county, which could help alleviate some of Williamson’s $1.1 billion debt, but there are some conditions, like a 2/3 majority vote of the commission, which if unmet will require the funds to go into an independently managed trust with no assurance of who will do the managing and which cannot be used by the local government for county needs.

It also currently remains unclear how much of the proceeds the county would be able to divert from a trust even should the sale meet all the exemption requirements in the new law.

Community members, including Williamson County Republican Party Chair Steve Hickey, remain on alert as the entire sale process has raised questions about transparency, weaponized confidentiality, and behind the scenes political workings as residents and even some elected officials have been left largely in the dark about the proceedings.

“Ascension’s commitment to retain current employees for one year is a positive first step,” Hickey noted. “Any final transaction must include stronger, longer-term protections for a dedicated healthcare workforce, and firm guarantees of continued high quality, accessible care at competitive prices.”

The July 6 meeting was the first of many promised by officials in navigating the next steps of the sale, with another special session to discuss the proposal slated for some time in August.

Over the next several weeks, the Williamson Health and Ascension Saint Thomas teams will work with their advisors and legal counsels to draft a non-binding Letter of Intent which will then be presented to the County Commission for approval.

If the County Commission ultimately greenlights the sale, Williamson Health Board Chairman Bo Butler anticipates the transaction will not be complete until at least sometime in 2027 or 2028 as the entities work through the required regulatory approvals. Until then, Williamson Health will continue to operate independently.
